Terms of Service & End-User License Agreement

1. Who we are

Talkak ("the Service," "the App") is operated by DAESEON ("we," "us"). Contact: showep12@gmail.com.

2. The product

Talkak is a native macOS (Apple Silicon) desktop application: a multi-pane terminal multiplexer and Claude Code workspace. You bring your own AI ("BYO-AI") — you supply and run your own Claude Code / Codex inside the App. We do not provide, resell, or mark up AI tokens, and we charge 0% token markup. The App is downloadable software sold as a subscription — not a consulting, setup, or managed service.

3. License grant

Subject to these Terms and an active subscription (or valid free trial), we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on devices you control, for your own use.

4. Restrictions

You may not: reverse-engineer, decompile, or disassemble the App except where law forbids that restriction; resell, sublicense, rent, or redistribute it; remove proprietary notices; or use it unlawfully.

5. Bring-your-own-AI

Your use of Claude, Codex, or any third-party AI provider is governed by that provider's terms, and you are responsible for their availability, output, accuracy, and any costs they charge. We are not a party to, and are not responsible for, your relationship with those providers. The App reads and displays the activity you run; the workspace stays out of the loop — nothing leaves your machine that you did not send.

6. Subscription, trial, billing

Talkak is $12 USD/month or $96 USD/year, after a 14-day free trial. Subscriptions auto-renew until cancelled. You can cancel anytime; cancellation takes effect at the end of the current billing period. See our Refund & Cancellation Policy.

7. Payments & Merchant of Record

Our order process and payments are handled by Paddle.com, the Merchant of Record for all purchases. Paddle is the seller to you for the transaction, and Paddle's Buyer / Checkout Terms govern the payment, tax, and your buyer-side consumer rights. These Terms govern your use of the App; they do not replace Paddle's transaction terms.

8. Software status (honest disclosure)

The current macOS build is not yet code-signed or notarized by Apple. On first launch, macOS may warn that the developer is unidentified; you install it by right-clicking the app → Open → Open (one time). We make no representation that the build is signed or notarized.

9. Disclaimers & liability

The App is provided "as is," without warranties to the fullest extent permitted by law. To the maximum extent permitted by law, our aggregate liability for the App is limited to the amount you paid us for the Service in the 12 months before the claim. (Paddle's liability for the payment transaction is governed separately by Paddle's terms.) Nothing here limits liability that cannot be limited by law.

10. Termination

We may suspend or terminate access for breach of these Terms. You may stop using the App at any time.

11. Changes & governing law

We may update these Terms; material changes will be posted here with a new effective date. These Terms are governed by the laws of Ontario, Canada, without prejudice to mandatory consumer-protection rights in your country.
